Tapenda

Terms of Service

Effective 6 October 2026. This is the current version; the date changes when the document does.

1. The agreement, and who it is with

These Terms are an agreement between you — the business or individual professional using Tapenda — and Alexandra Romanov, sole proprietor (Osek Patur), Israel, Herzl 19, Apt 6, Netanya 4243002, Israel (“Tapenda”, “we”, “us”). They govern the web application, the messaging features, the booking pages and everything else we provide under the name Tapenda (the “Service”).

Tapenda is the trading name of Alexandra Romanov (רומנוב אלכסנדרה), sole proprietor, Israel.

Using the Service means accepting these Terms. Creating an account, signing in, or sending a single message through the Service is acceptance, whether or not you read this page. If you do not accept them, do not use the Service.

You must be at least 18 years old. The Service is for professional and business use — you are using it to run a business, not as a consumer for personal purposes — and where you accept these Terms on behalf of a company or partnership, you confirm you are authorised to bind it. Consumer-protection rules that apply to you regardless of this clause are untouched by it; nothing here takes away a right the law gives you and does not let you waive.

2. What the Service is — and the state it is in

Tapenda keeps a client list, a calendar and a record of money for solo and micro service businesses, and connects them to WhatsApp so that bookings can be captured from a chat and reminders sent automatically. Features available on any given day are the ones you can see in the product.

Early access. Tapenda is in an alpha stage. The Service is provided “AS IS” and “AS AVAILABLE”. That is not a formality: features will change, move and occasionally be withdrawn; interfaces will be redesigned; there will be interruptions, sometimes without notice; data can be affected by defects in a way that no amount of care fully prevents at this stage. We make no promise of uptime, of a service level, or that any particular feature will continue to exist. If your business cannot absorb a day without this Service, keep your own copy of anything you could not lose — the Service can export your client list at any time, and we recommend using it.

We may modify, suspend or discontinue any part of the Service. Where a change materially reduces functionality you rely on, we will give reasonable notice by email or in the product, except where a change has to be made immediately for security, legal or platform reasons.

3. Your account and its security

Sign-in is passwordless: a one-time code sent to your email address, or a Google account. That means access to your email or Google account is access to your Tapenda account — keep both secure, and keep your email address on the account up to date. You are responsible for everything done through your account, including by staff or anyone else you let in.

The information you give us must be accurate: your identity, your business name, your contact details, and — when billing begins — your payment and tax details. Tell us promptly at supporttapenda.app if you believe someone else has got into your account, and write to securitytapenda.app if you have found a security flaw.

One account is for one business. Sharing an account across businesses, or reselling access to it, is not permitted (see section 8).

4. Acceptable use

This section is the one we enforce most strictly, because breaking it damages other people: the clients who receive unwanted messages, the other businesses on the platform, and our standing with WhatsApp — which, if lost, takes the Service down for everyone.

Messaging

  • No unsolicited messaging. You may message a client through the Service only where you have a lawful basis and their agreement to be contacted — typically because they wrote to you first, or because they gave you their number for this purpose. Buying, scraping or otherwise acquiring lists of numbers and messaging them through Tapenda is prohibited outright.
  • No spam, and honour the exits. Do not send bulk promotional messages to people who did not ask for them, do not message at a frequency a reasonable person would call harassment, and stop immediately when someone opts out — however they say it, and whether or not they use the word STOP.
  • You must comply with WhatsApp’s own rules — the WhatsApp Business Messaging Policy and Commerce Policy, and Meta’s platform terms — as they apply to your messages, your content and the goods or services you sell. Those rules are Meta’s and can change without either of us being consulted. A breach of them is a breach of these Terms.
  • You must not impersonate another business, misrepresent who is writing, or use the Service to send messages on someone else’s behalf without disclosing it.

Content and data

  • No special categories of data about your clients. Do not enter health or medical information, data about racial or ethnic origin, political opinions, religious or philosophical beliefs, trade-union membership, genetic or biometric data, data about sex life or sexual orientation, criminal records, government identity numbers or full payment card numbers. The Service is not certified or built for that data, and the obligations that attach to it — in the EU, in California, in Israel — are ones neither of us wants to acquire by accident through a free-text note.
  • Nothing unlawful, infringing, defamatory, or which you do not have the right to upload. Photographs of an identifiable person require that person’s agreement, which is yours to obtain.
  • No content that promotes what WhatsApp prohibits — among other things weapons, drugs, adult services, gambling and unapproved medical products.

The Service itself

  • No scraping, crawling or bulk extraction other than through features we provide; no circumventing rate limits, quotas or plan limits; no automated access designed to degrade the Service for others.
  • No reverse engineering, decompiling or attempting to derive source code except to the extent that law expressly permits it; no penetration testing without our written agreement in advance.
  • No resale, sublicensing, white-labelling or providing the Service to third parties as your own; no using it to build a competing product.
  • No probing another tenant’s data, no attempt to access an account that is not yours, and no uploading of malware.

If you break this section we may suspend or terminate your account. We will normally warn you first and give you a chance to fix it; where the breach threatens our clients, our platform standing or somebody’s legal rights — messaging without consent is the standard example — we may suspend immediately and explain afterwards. Suspension does not entitle you to a refund of fees for the period you spent in breach, and you remain able to export your data.

5. Your clients’ data, and who is responsible for it

The client records, appointments, notes, photographs and messages you put into the Service (“Client Data”) are yours. We do not own them, we do not sell them, and we do not use them for our own purposes.

In data-protection terms you are the controller of Client Data and we are your processor: we process it on your instructions, which you give through the product. That means the obligations that belong to a controller are yours. You are responsible for having a lawful basis to hold your clients’ data and to message them, for telling them what you do with their data, for responding to their requests to see, correct or delete it, and for the accuracy of what you record. Our Privacy Policy describes the arrangement in full and sets out our side of it: security measures, subprocessors, assistance with requests, breach notification, and deletion when you leave. By accepting these Terms you accept that description as the data-processing terms between us, and we will sign a separate data processing agreement on request.

You grant us the limited right to host, store, transmit and display Client Data for the sole purpose of providing the Service to you — including sending the messages you configure, and backing the data up. That right ends when the data is deleted.

We may use aggregated, de-identified statistics that cannot identify you or any of your clients — how many bookings a typical account holds, how often reminders are confirmed — to operate and improve the Service.

6. Fees

Tapenda is free to use during early access. The paid plans — Pro and Premium, at the prices on our pricing page — are not on sale yet; this section sets the terms they will be sold on. Nobody is charged for a plan they did not choose, and we will give at least 30 days’ notice by email before any charge applies to an existing account.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle’s own terms apply to the purchase itself and are published at paddle.com/legal.

Subscriptions and renewal. Paid plans are billed in advance, monthly or yearly, and renew automatically at the end of each period until cancelled.

Free trial. A paid plan may start with a 14-day free trial. Starting one requires a payment method; unless you cancel before the trial ends, the subscription begins and its first period is charged automatically. One free trial per business account.

Cancellation and refunds. You can cancel at any time: the plan stays active until the end of the period already paid and then does not renew, and partial periods are not refunded. Your first payment for a paid plan is covered by a 14-day money-back guarantee — the details are in our Refund Policy.

Price changes and taxes. Prices are in US dollars. We will tell you by email at least 30 days before a new price applies to your next renewal, so you can cancel before it does. Sales tax or VAT, where it applies, is calculated and collected by Paddle.

Any credits, discounts or “founding member” terms offered during early access are promotional, have no cash value, and are not refundable.

Messages you send through your own WhatsApp number are billed by Meta directly to you, not by us. We add no markup to them and we have no control over those rates.

7. Third-party services

The Service connects to platforms we do not control — WhatsApp and the Meta Business platform, Google Calendar and Google sign-in, and, once paid plans open, Paddle. Using those features means accepting the relevant provider’s own terms, and their handling of your data is governed by their policies.

Their availability, their rules and their prices can change without notice to either of us. Meta can rate-limit a number, lower its quality rating, pause a message category in a country, or disable an account. We build around those constraints and tell you what we know about them, but we are not responsible for a third-party platform’s decisions, outages or changes, and their consequences for your business are not something we can indemnify you against.

8. Our intellectual property and our name

The Service — its software, design, text, the arrangement of it, and everything except your Client Data — belongs to us and our licensors. We grant you a limited, non-exclusive, non-transferable, revocable right to use it while your account is in good standing, and nothing more is granted by implication.

TAPENDA™, the Tapenda logo and our domain names are our trade marks. You may not use them in your own product, service, application, advertising, email, domain name, social-media handle or app-store listing; you may not register a confusingly similar name or domain; and you may not present yourself as affiliated with, endorsed by or acting for Tapenda unless we have agreed in writing. A business that uses the Service may of course say truthfully that it does.

The only domains we operate are tapenda.app, tapenda.page, tapenda.co and their subdomains; the only addresses we write from end in tapenda.app. Anything else that carries this name is not ours, and our security page explains how to report it. We enforce this section against impersonation and phishing, and that enforcement protects your clients as much as our name.

If you send us feedback or suggestions, we may use them without obligation to you. You keep any rights you already had in them.

9. Disclaimers

To the fullest extent permitted by law, the Service is provided without warranties of any kind, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose, title or non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure or error-free; that messages will be delivered; that reminders will arrive at a particular moment; that data will be free of loss or corruption; or that defects will be corrected.

In particular, and because these are the expectations a booking product invites: a reminder can fail to arrive for reasons entirely outside our system — a platform outage, a blocked number, a client’s phone that is off — and a delivery failure is not something we are liable for. Nothing in the Service is legal, tax or accounting advice; documents and exports it produces are prepared for you or your accountant to check and file.

Some jurisdictions do not allow the exclusion of certain warranties. Where that is the case, the exclusions above apply only to the extent permitted, and any warranty that cannot be excluded is limited in duration to the minimum the law allows.

10. Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, nor for lost profits, lost revenue, lost bookings, lost goodwill, or the cost of substitute services, even if advised that such damages were possible.

Our total liability arising out of or relating to these Terms or the Service, for all claims taken together, is limited to the amount you paid us for the Service in the three months before the event giving rise to the claim — or, if you are on a free plan and have paid us nothing, to US$50. That cap reflects what this agreement is: a service priced in single-digit dollars, provided in early access, that cannot carry the commercial risk of a business it supports.

Nothing in these Terms limits liability that cannot be limited by law — including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or, where the law so provides, for gross negligence or wilful misconduct. Where a jurisdiction does not permit some of the limitations above, they apply to the maximum extent it does permit.

11. Indemnity

You will defend and indemnify us against claims, damages, losses and reasonable costs (including legal fees) brought by a third party and arising from: the messages you send through the Service; the Client Data you put into it, including any claim that you had no right to hold or use it; your breach of these Terms, in particular section 4; your breach of a third-party platform’s rules; and your infringement of anyone’s rights. We will tell you promptly of any such claim, let you control the defence of it, and cooperate at your expense; you may not settle a claim in a way that admits fault on our part without our agreement.

12. Term and termination

These Terms apply for as long as you have an account. You may stop using the Service at any time and ask us to delete your account — the data deletion section of the Privacy Policy explains how, and what happens to your data.

We may terminate or suspend your account: for a material breach of these Terms; where the law or a platform we depend on requires it; or, on 30 days’ notice, if we discontinue the Service. On termination your right to use the Service ends; export your data before you go, and for 30 days afterwards we will help you get a copy if you ask. Sections that by their nature survive — intellectual property, disclaimers, liability, indemnity, governing law — survive.

13. Changes to these Terms

We may change these Terms. When a change is material we will update the effective date and notify account holders by email before it takes effect. Continuing to use the Service after that date means you accept the new version; if you do not, stop using the Service and ask us to delete your account.

14. General

Notices. We write to the email address on your account; that is valid notice. Write to us at supporttapenda.app, or to the postal address above for anything formal.

Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition or sale of the business, on notice to you.

Severability and waiver. If a provision is held unenforceable, it is narrowed to the minimum extent necessary and the rest stands. Not enforcing a right is not a waiver of it.

Force majeure. Neither party is liable for a failure caused by events beyond its reasonable control, including a third-party platform outage, network failure or act of government.

Entire agreement. These Terms and the Privacy Policy are the whole agreement between us about the Service and replace anything said before it. Nothing here creates a partnership, agency or employment relationship. These Terms are written in English; a translation is for convenience only.

15. Governing law and disputes

These Terms are governed by the laws of the State of Israel, without regard to conflict-of-law rules. Disputes that cannot be settled between us go to the competent courts of that jurisdiction, and both of us agree to their jurisdiction and venue.

If you are a consumer in a jurisdiction whose law gives you the right to bring a claim where you live, or which applies protections that cannot be excluded by agreement, this section does not take that away.

Before starting formal proceedings, write to supporttapenda.app. Nearly everything is faster to fix than to litigate, and we would rather fix it.
